Trip Terms and Conditions

World of Wine Luxury Trip: Argentina — Mendoza & San Rafael, Argentina | February 28 - March 6, 2027

Miner Ventures LLC

These Terms and Conditions ("Terms") are an agreement between the individual reserving a place on the Trip described below ("Guest," "you") and Miner Ventures LLC ("Company," "we," "us," "our"). By submitting a Deposit as described in Section 2, Guest agrees to be bound by these Terms.

1. Definitions

"Trip" means the World of Wine Luxury Trip: Argentina, a seven-day, six-night guided tour of Mendoza and San Rafael, Argentina, scheduled for February 28 - March 6, 2027.

"Deposit" means the $1,000 USD payment required to reserve a place on the Trip.

"Balance" means the remaining amount due for a Guest's chosen package, as set out in Section 3.

"Guest" means each individual traveler reserving or traveling on the Trip.

2. Reservation and Deposit

A reservation is confirmed upon Company's receipt of the Deposit. Reservations are confirmed in the order in which Deposits are received. The Deposit is non-refundable, except as provided in Section 4.

3. Pricing and Payment Schedule

Pricing is $5,000 for the first traveler and $3,000 for each additional traveler sharing lodging with the first traveler. The Balance is due in full no later than November 1, 2026. Company reserves the right to release a Guest's reservation if the Balance is not received by that date with no refund of the deposit.

4. Cancellation

If, for any reason, the Trip is cancelled, all amounts paid, including the Deposit, will be refunded in full. Other than in the event of cancellation of the Trip by Company, the Deposit is non-refundable under any circumstances.

5. Inclusions and Exclusions

Included in the Trip price: lodging in 4- and 5-star accommodations; meals as detailed in the itinerary; all listed activities and tastings; ground transportation as set out in the itinerary; gratuities.

Not included: airfare to and from Argentina; certain breakfasts and lunches as noted in the itinerary; personal expenses; free time activities; and travel insurance. Anything not listed is not included.

6. Eligibility

The Trip is open to adults twenty-one (21) years of age or older as of the Trip's departure date.

7. Travel Documents and Entry Requirements

Each Guest is solely responsible for ensuring that their passport is valid for at least six months beyond the Trip's return date and for satisfying any entry, health, or documentation requirements imposed by Argentina or any transit country in effect at the time of travel.

8. Travel Insurance

Company strongly recommends that each Guest obtain travel insurance covering trip cancellation, trip interruption, medical treatment abroad, and emergency evacuation. The Trip includes travel to remote locations without immediate access to Western-standard medical facilities.

9. Assumption of Risk; Release of Liability; Indemnification

(a) Assumption of Risk. Travel involves inherent risks, including but not limited to risks associated with transportation, food and alcohol consumption, outdoor and recreational activities, lodging, and travel in a foreign country, some of which may result in illness, personal injury, death, or property damage. Guest voluntarily assumes all such risks, known and unknown, in choosing to participate in the Trip.

(b) Release. To the fullest extent permitted by law, Guest, on behalf of themselves and their heirs, executors, administrators, and assigns, releases and forever discharges Company, its owners, members, employees, and agents from any and all claims, demands, or causes of action arising out of or related to Guest's participation in the Trip, except to the extent arising from Company's gross negligence or willful misconduct.

(c) Indemnification. Guest agrees to indemnify and hold Company harmless from any claim, liability, loss, or expense, including reasonable attorneys' fees, arising out of Guest's acts or omissions or Guest's breach of these Terms.

(d) Medical Treatment. In the event of injury or illness during the Trip, Guest authorizes Company's on-site trip lead to arrange emergency medical treatment on Guest's behalf, at Guest's expense, if Guest is unable to consent directly.

(e) Binding Effect; Severability. This Section 9 is binding on Guest's heirs, executors, administrators, and legal representatives. If any part of this Section 9 is held unenforceable, the remainder shall continue in full force and effect.

10. Role of Company; Independent Operators

Company is not a licensed travel agency or tour operator. Company arranges and coordinates the Trip on Guest's behalf, including by engaging a licensed tour agency and other independent local providers in Argentina to supply certain accommodations, ground transportation, and related services. Company acts solely as an intermediary in engaging these providers. Company does not itself provide, and does not assume the liability of, any tour agency, transportation provider, lodging provider, or other third-party operator engaged in connection with the Trip. Each such provider is solely responsible for the services it renders, and any claim arising from those services rests with that provider, not with Company.

11. Force Majeure

Neither party shall be liable for failure or delay in performance resulting from causes beyond its reasonable control, including natural disaster, government action, pandemic, or civil unrest. Where the Trip is cancelled as a result of such an event, the refund provisions of Section 4 apply, subject to the cancellation terms of Company's third-party vendors in Argentina.

12. Code of Conduct

Company reserves the right, in its sole discretion, to remove any Guest from the Trip without refund for conduct that endangers other Guests, damages Company's relationships with its vendors or hosts, or violates applicable law.

13. Itinerary Changes

The itinerary is subject to change due to weather, vendor availability, or other circumstances beyond Company's control. Company will substitute a comparable experience where reasonably possible and will notify Guests of material changes as soon as practicable.

14. Governing Law; Venue

These Terms are governed by, and shall be construed in accordance with, the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Trip shall be brought exclusively in the state or federal courts located in Sacramento County, California, and Guest consents to the personal jurisdiction of such courts.

15. Entire Agreement; Severability

These Terms constitute the entire agreement between Guest and Company with respect to the Trip and supersede all prior agreements or understandings. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
